CONTRACT FOR SERVICES (FREELANCE/CONTRACTOR AGREEMENT)
THIS AGREEMENT is made on this ______ day of ____________, 2026 (the "Effective Date").
BETWEEN:

WHEREAS: The Company desires to engage the Contractor to perform specialized technical services in relation to high-performance computing (HPC) and code parallelization, and the Contractor agrees to perform such services under the terms and conditions set forth below.
1. SERVICES AND DELIVERABLES (服务与交付物)
1.1 The Contractor shall provide high-performance computing (HPC) and code parallelization/optimization services (the "Services"), which include but are not limited to:
Profiling, benchmarking, and identifying performance bottlenecks in the Company’s existing source code.
Refactoring and optimizing sequential algorithms into parallel code utilizing technologies such as [根据实际填：OpenMP / MPI / CUDA / SIMD Vectorization / Multi-threading].
Memory management optimization, cache locality improvements, and reducing computational latency.
Ensuring the optimized code maintains mathematical and functional accuracy comparable to the original baseline. 1.2 The specific deliverables, milestones, and timelines are detailed in Schedule A of this Agreement.
2. INDEPENDENT CONTRACTOR STATUS (独立承包商身份 - 防范税收风控)
2.1 The Contractor is an independent contractor and nothing in this Agreement shall render the Contractor an employee, worker, agent, or partner of the Company. 2.2 The Contractor shall be fully responsible for any income tax, national insurance, or equivalent taxes applicable to the fees paid under this Agreement in their own jurisdiction.
3. FEES AND PAYMENT TERMS (费用与支付方式)
3.1 The Company shall pay the Contractor a fixed fee of [总金额，例如：£1,000 / $1,500] upon successful completion and acceptance of the deliverables, or according to the payment milestones outlined in Schedule A. 3.2 The Contractor shall submit a professional invoice upon reaching each milestone. 4.1 The Contractor acknowledges that all intellectual property rights, including source code, optimized algorithms, parallel architectures, documentation, scripts, and binaries created or developed by the Contractor in the course of providing the Services (the "Work Product"), shall belong exclusively to the Company. 4.2 The Contractor hereby assigns to the Company, with full title guarantee, all current and future intellectual property rights in the Work Product worldwide.
5. CONFIDENTIALITY (保密条款)
5.1 The Contractor shall keep strictly confidential all source code, datasets, performance data, proprietary algorithms, and business information disclosed by the Company. 5.2 The Contractor shall not disclose, reproduce, or use any confidential information for any purpose outside the scope of this Agreement without the prior written consent of the Company. 5.3 This confidentiality obligation shall survive the termination of this Agreement for a period of [保密年限，例如：5] years.
6. TERMINATION (合同终止)
